Terms of Service

These terms govern access to and use of the RoomStack platform. They apply to every person using the service on their own behalf or on behalf of an organization.
By checking the acceptance box or continuing after a re-acceptance request, you confirm that you have read and accepted the version shown. The Privacy Policy separately explains how RoomStack handles personal information.
1. Eligibility and authority
You must be authorized to use RoomStack and, if acting for an organization, have authority to bind it where applicable. You must provide accurate information and keep your account information current.
2. Accounts and security
Your account is personal. You are responsible for keeping your credentials confidential, for activity performed through your account, and for promptly reporting unauthorized access. RoomStack may suspend a session or require a reset when needed to protect account security.
3. The RoomStack service
RoomStack provides structuring and collaboration tools for functional and technical programs, room data sheets, building data, documents, and certain synchronization, import, and export workflows. Available features may depend on the organization’s subscription, permissions, and selected integrations.
4. Acceptable use
You must not use RoomStack unlawfully, abusively, or in a way that could compromise the service or other users. In particular, you must not:
- attempt to bypass access controls, technical limits, or security measures;
- introduce malware, disrupt the service, or conduct security testing without written authorization;
- copy, resell, reverse engineer, or exploit the service beyond the rights granted, except where expressly permitted by law;
- upload content you have no right to use or that infringes another person’s rights.
5. Organization data and content
The organization and its users retain their rights in the data, documents, and content they provide. They grant RoomStack the limited rights needed to host, process, back up, transmit, and display that content to operate, secure, and support the service.
You are responsible for the legality and accuracy of submitted content, the necessary permissions, and your organization’s configuration of roles, access rights, sharing, invitations, and integrations.
6. Confidentiality and personal information
Each party protects confidential information received from the other using reasonable safeguards and uses it only for the service relationship. RoomStack’s handling of personal information is described in the Privacy Policy and, where applicable, agreements with the customer organization.
7. Third-party services and integrations
Some features may interact with third-party products or services. Their availability and terms are controlled by those providers. RoomStack is not responsible for a third-party service, but remains responsible for its own obligations when it uses a provider to operate RoomStack.
8. Subscription, fees, and taxes
Applicable fees, term, usage limits, renewal, and payment terms are set out in the proposal, order form, or agreement with the organization. Applicable taxes are added unless stated otherwise.
9. RoomStack ownership
RoomStack and its licensors retain their rights in the platform, code, design, marks, documentation, and improvements. If you voluntarily provide feedback, RoomStack may use it to improve the service without acquiring your data or confidential content.
10. Availability, changes, and backups
RoomStack works to maintain a reliable and secure service, but planned or unplanned interruptions may occur. Features may change for technical, operational, legal, or security reasons. Any specific service commitments are set out in the agreement with the organization.
11. Suspension and termination
RoomStack may limit or suspend access for a security risk, material breach of these terms, unlawful use, or applicable non-payment, with reasonable notice when circumstances permit. The organization may end the service under its agreement. At termination, access to and export of data follow that agreement and legal retention obligations.
12. Warranties and liability
To the extent permitted by law, the service is provided as available and RoomStack does not warrant uninterrupted or error-free operation. Applicable liability limits are those in the agreement with the organization. Nothing limits a liability or right that cannot legally be excluded or limited.
13. Changes to these terms
RoomStack may amend these terms. A material change will be brought to your attention before it takes effect or on your next use, and renewed acceptance may be required. The displayed version and date identify the text you accepted.
14. Governing law and communications
These terms are governed by the applicable laws of Québec and the federal laws of Canada applicable there, subject to mandatory rules. Notices may be delivered in RoomStack or to the email address associated with the account.
